1.Who we are

BadePlus is an online service for managing Google Business Profiles, offered through the BadePlus website and the BadePlus panel (together, the "Platform"). BadePlus is operated by a limited liability company organized in the State of New Mexico, USA ("BadePlus", "we", "us", "our"). We provide the Service to all users and are the seller of every paid plan and every one-time service; we are also the data controller described in our Privacy Policy.

  • Company name: Velden LLC
  • Registered address: 1209 Mountain Road Pl NE Ste N, Albuquerque, NM 87110, USA
  • State registration: State of New Mexico (USA), registration number 0008112272

"You" means the person who uses the Platform and the business on whose behalf that person acts.

2.Accepting these terms

By creating an account or using the Platform you accept these Terms of Service. If you do not accept them, do not use the Platform.

These terms reflect three Turkish documents: the Terms of Use, which apply to everyone who uses the Platform, and the Service and Subscription Agreement and the Distance Sales Agreement, which also apply when you buy a paid plan. When you order a one-time service, the Distance Sales Agreement and the Pre-contractual Information Form apply as described under One-time services; when you use the map usage service from BadePlus, they apply as described under Map usage service. If the Turkish documents conflict with each other, the Service and Subscription Agreement prevails, followed by the Distance Sales Agreement and then the Terms of Use. For an auto-renewing subscription, the Card Storage and Auto-Renewal Authorization and the plan information shown when you buy also form part of the contract.

A contract for a paid plan takes effect when you confirm the purchase on our payment page and complete the payment or, for an agreed payment outside the payment page, when you make the payment on the terms we gave you in writing (see Agreed payments outside the payment page). It stays in force while the plan is valid: until the paid period ends for a one-time payment, and while the subscription continues for an auto-renewing subscription. You give your approvals on our payment page before you continue to Stripe's payment page. Your identity and contact details for the contract are the account details registered in the panel and the details you give when paying.

Our Refund and Cancellation Policy explains the trial, cancellation and refund rules in more detail, and our Privacy Policy explains how we process personal data. The current texts are always published on our website; on request we also send them to you by email.

3.Definitions

  • Platform: the BadePlus website, panel and public application programming interface (API).
  • Service: the Google Business Profile management, AI-assisted content and automation, rank tracking and reporting features offered in the BadePlus panel.
  • User: a natural person who opens an account on the Platform or is invited to a workspace.
  • Workspace: the area in which the Google accounts, locations and team members of a business or an agency are managed together.
  • Connected account: a Google account connected to the Platform with your authorization, and the Google Business Profiles it manages.
  • Content: text, images, replies, posts and other material you upload to or create on the Platform.
  • AI output: content produced by artificial intelligence models, such as review replies, post texts and images.
  • Plan: a paid option whose features, per-business limits and prices are published on the pricing page.
  • Number of businesses: the number of businesses a plan is bought for. It is the maximum number of business profiles you can manage in your workspace at the same time, and the per-business limits are multiplied by it. On the Free plan and during the free trial it is one.
  • Free trial: the 3-day period that starts once when you sign up and your workspace is created; no card is required and nothing is charged.
  • Restricted use: the state of an account after the free trial or a paid period ends, until a new plan is bought.
  • Payment type: a one-time payment, paid once for the chosen duration and not renewed, or an auto-renewing subscription, charged to the saved card every period until it is cancelled.
  • Agreed payment: a one-time payment made outside the payment page, by written agreement with us, by bank transfer (havale or EFT) or another agreed method (see Agreed payments outside the payment page).
  • Subscription page: Settings → Subscription (Ayarlar → Abonelik) in the panel. It shows your plan, your number of businesses, its end or renewal date, your payment history, the options to extend, to change plan and to change the number of businesses and, for an auto-renewing subscription, your saved card and the cancel button.

4.The Service

The Platform helps you manage your Google Business Profiles from one place. Depending on your plan, you can:

  • manage several Google accounts and locations from one panel,
  • see reviews, prepare AI-assisted reply drafts and publish them with your approval,
  • prepare a weekly post plan and post images,
  • update location information in bulk,
  • measure your Google Maps ranking from selected points,
  • use performance reports, a task list and automated workflows (autopilot),
  • if your plan includes it, get a one-page business website for your businesses, prepared from your Google profile information and hosted by BadePlus.

The features, per-business limits and prices of each plan are published on the pricing page. While your plan is valid, you can use the features and limits published for it when you bought it, for the number of businesses you bought. The limits shown per business on the pricing page (such as AI replies, posts and rank tracking) are multiplied by your number of businesses and apply to your workspace; plan-level limits, such as the number of team members, do not depend on the number of businesses. You can connect at least as many Google accounts as shown for your plan on the pricing page, and as many as the number of businesses you bought if that is higher.

You can manage at most as many business profiles at the same time as the number of businesses you bought; the other profiles in your connected Google accounts stay unmanaged and no actions are taken for them. On the Free plan and during the free trial you can manage one business. For more businesses than the highest number that can be selected on the pricing page, you can ask us for a custom offer; for a sale under a custom offer, the number of businesses and the price agreed in the offer apply, and these terms apply to everything else.

Business websites. If the pricing page shows that your plan includes the business website, we prepare and publish a one-page website for the businesses you manage, consistent with their Google Business Profiles ("business website"). These rules apply to it:

  • Scope: a site is prepared only for businesses first brought under management in BadePlus after this feature became available. No site is prepared or published for businesses that are unmanaged, unverified or suspended on Google, or no longer on Google.
  • Site entitlement: you can open as many sites as your business entitlement (the number of businesses you can manage, described above), one site per business. Each site you open uses this entitlement permanently: closing or deleting the site, or removing the business from management, does not free it, and reopening the site of the same business does not use a new one. When a site is deleted, the information published on it and its draft are deleted; the site record, its subdomain and the entitlement used remain, and the subdomain is not given to another site. If you reduce the number of businesses, the number of sites that can stay published is limited to the new number, and the excess is unpublished starting with the site that was first published most recently; a site that was closed and reopened keeps its first publication date.
  • Content and approval: the site publishes the information you approve. We prepare a draft from your Google Business Profile (name, phone, address, opening hours, services, description and photos); the introduction in the draft may be written with the help of AI. If the business has no real photos or only a few, images generated with AI for the business (images in its weekly post plan, or images generated for the site's empty image areas based on the business's category and services) may also be used in the draft; these images are marked on the site as illustrative and AI-generated and, like the rest of the draft, are published only with your approval or your automatic approval permission. The draft is published when you approve it or with the automatic approval permission you give in the panel; while that permission is on, the site is updated without waiting for approval as this information changes on Google. You can withdraw the automatic approval permission in the panel at any time. You are responsible for the accuracy and lawfulness of the information on the site.
  • Website field on Google: the site's address is added to the website field of your Google Business Profile if you choose so when publishing, or if you have given both the automatic approval and the automation permission. A field that is already filled is not changed, and in some sectors that Google closely monitors the address is not added automatically.
  • Hosting and domain: we host the site and publish it on a subdomain of BadePlus's domain generated from the business's name. The domain and the subdomain belong to BadePlus and are not transferred to you; we may change the subdomain where necessary (for example, on a claim of infringement). The site's design and software belong to BadePlus; the information and photos published on it are your content.
  • Unpublishing: if your plan changes to one that does not include this feature, or your plan ends and your account moves to restricted use, the site is unpublished immediately; it is also unpublished if the business is removed from management, loses its verification on Google, is suspended on Google or is removed from Google. If your plan again includes this feature or your number of businesses increases, sites unpublished because of the plan or the number of businesses are republished in the order of their first publication, as far as the site entitlement allows; a site closed by you or by us is not republished automatically. When a site is unpublished and the website field of your Google Business Profile still contains the site's address, we remove it with your automation permission; if you have not given the automation permission, or the business is in a sector that Google closely monitors, unmanaged (passive) or suspended on Google, the address is not removed, we let you know by a panel notification and by email, and you remove it. An address we removed is added again under the same rules when the site is republished. We may unpublish a site whose content is unlawful or misleading or infringes the rights of others, or that imitates another business or brand.
  • Credit line and visitors: the site shows the credit "BadePlus ile oluşturuldu" ("Created with BadePlus") and a link to BadePlus. It has no BadePlus cookies, analytics tools or contact forms; information about the personal data of its visitors is in our Privacy Policy.

We may change features, add new ones or retire them to improve the Service and its security. If a change materially removes the core function of your paid plan, you may end the contract before the change takes effect and ask for a pro rata refund of the unused period.

Examples and images on our marketing pages are not commitments unless they are part of the plan information.

5.Your account

  • You must be at least 18 years old to sign up.
  • You are responsible for keeping the information you give at sign-up accurate and up to date.
  • Do not share your password with anyone; we recommend turning on two-step verification. If you think someone has used your account without permission, tell us immediately.
  • As the owner of a workspace, you are responsible for what the team members you invite do on the Platform. Remove members whose authority has ended.
  • Actions taken through your account are deemed to be taken by you, unless you prove otherwise.

You can reach us about your account through a support request in the panel or by email.

6.Connecting Google accounts

To use the Google Business Profile features, you connect your Google account through Google's own authorization screen. By connecting it you confirm that:

  • you connect only business profiles you are authorized to manage,
  • if you manage a client's profile as an agency, you have obtained your client's permission,
  • you will comply with Google's terms of service and Google Business Profile policies.

You can remove the connection at any time from the Accounts page (Hesaplar) in the panel or from your Google account permissions page. Once the connection is removed, the Platform can no longer act on those profiles.

7.Acceptable use

You may not use the Platform to:

  • create fake, purchased or misleading reviews, manipulate reviews, or set up schemes that collect reviews only from satisfied customers (review gating),
  • disparage competitors or act as if you were another person or business,
  • publish content that is unlawful, insulting, discriminatory or obscene, or that infringes the rights of others,
  • send commercial messages without permission or collect personal data unlawfully,
  • reverse engineer or copy the Platform, extract data with automated tools without permission, or try to get around security measures or plan limits,
  • share your API keys with third parties or use the API beyond its rate limits,
  • use a business website to imitate the name, logo or look of another business or brand, or to mislead visitors about whom they are dealing with,
  • breach the policies of Google or other platforms.

If these rules are breached, we may stop the content concerned, unpublish the business website, turn off automations, suspend the account temporarily or close it. Agencies may use the Platform to manage their clients' profiles; reselling or sublicensing the Platform itself requires our written permission.

8.AI output and automation

Review replies, post texts and images are produced with artificial intelligence models. AI output may contain errors, gaps or statements that do not fit the context. Therefore:

  • you should review AI output before it is published,
  • output published with your approval or through an automation you turned on is your content.

When you give the automatic publishing permission at sign-up, review replies, posts and photos selected from your gallery are published on your Google Business Profile without separate approval for each item, and suggested corrections to your profile information (for example, writing a missing business description) are applied. Your business category is never changed automatically; for some sectors that Google checks closely and for service-area businesses, profile information is not changed automatically either. You can withdraw this permission at any time under Settings › Automation permissions (Ayarlar › Otomasyon onayları).

When you turn on autopilot or automatic publishing, you agree that content will be published on your behalf within the rules you choose. It is your responsibility to check your automations regularly and to stop them when needed. Autopilot is set up with the values we recommend; any change you make to these settings is your decision and you are responsible for its results. If we see a risk to your account or to compliance with Google's policies, we may stop automations.

AI output is not legal, medical or financial advice.

9.Free trial and restricted use

When you sign up and your workspace is created, a 3-day free trial starts once. No card is required and nothing is charged. During the trial, the first analysis of your business profile is done in full and about a quarter of the improvements it finds are applied (your business category is never changed automatically, and in some sectors that Google checks closely, profile information is not changed automatically either); posts, real photos and review replies are published up to the Free plan's limits for posts, photo uploads and AI replies (the numbers are shown on our pricing page). The remaining improvements and further posts and replies are prepared and held. If you buy a plan within 30 days of their preparation, the held improvements are applied automatically as long as your automatic publishing permission is on, and the posts and replies are published or sent to you for approval according to that permission and your automation settings; posts whose publishing time has passed stay as drafts. After that period, held items are not applied automatically. Rank tracking and the other limits (for example, the number of Google accounts you can connect and of businesses you can manage) are the same as on the Free plan, and some features of paid plans are not available. The trial is given once per workspace; no new trial starts when you buy, upgrade or downgrade a plan. The remaining trial time is shown in the panel.

If the trial ends and you have not bought a plan, your account moves to restricted use until you buy one: your panel and existing data stay visible, but new production, such as AI replies, posts, bulk updates and rank scans, and automations stop. Your data is not deleted. The same applies when a paid period or a subscription ends.

11.Payment types and prices

You choose the payment type on the payment page; both types are paid through Stripe:

  • One-time payment: you buy the plan for the number of businesses you choose and for 1, 2, 3 or 6 months or for 1 year, and pay the full price on the payment day. The price is calculated as described under Prices by number of businesses. The plan starts as soon as the payment is completed and is valid for the chosen duration. It does not renew automatically, your card is not saved for later payments and nothing further is charged to it.
  • Auto-renewing subscription: you buy the plan for the number of businesses you choose, monthly or yearly. It can be chosen only for a new purchase while no paid period is running, and there is no trial: the first period is charged on the payment day and the plan starts immediately. The subscription renews for the same period and the same number of businesses, in the currency in which it started, at the end of each period until you cancel it, and the renewal price is charged to the card saved at Stripe.

Plan prices are published on the pricing page for one business and excluding VAT. For payments in Turkish lira, the VAT and any other taxes that apply are shown on the payment page before you confirm the payment; Turkish VAT does not apply to payments in US dollars. Prices and charges are in Turkish lira; when US dollars are offered on the payment page, they are in the currency you choose there, Turkish lira or US dollars (see Currency and taxes). The final amount, the currency and any taxes are shown on the payment page before you confirm the payment, and the amount shown there applies. Your bank may apply its own fees to card transactions; these are outside our control.

Each plan's monthly limits (such as AI replies, posts and rank scans) reset at the start of each calendar month, and unused amounts do not carry over. When a limit is reached, the related action pauses until the next month or until you upgrade.

By buying an auto-renewing subscription you authorize the price of each renewal period, as shown on the payment page and including any taxes, to be charged to your saved card through Stripe until you cancel. You confirm that the card belongs to you or your business, or that you are authorized to give a recurring payment instruction for it.

12.Prices by number of businesses

The price of a plan is for one business. The price you pay depends on the plan, the number of businesses and the duration:

  • By number of businesses: the first business is charged at the plan's full price. If the total number of businesses is two or more, each additional business is charged with the same discount rate, which depends on the total number you choose. The discount rates for each total number are shown for each plan on the pricing page and on the payment page.
  • By duration: the monthly price is the sum of the monthly amounts of the businesses; the price of a 1, 2, 3 or 6 month duration is the monthly price multiplied by the number of months. The price of 1 year is lower than twelve times the monthly price for the same number of businesses by the yearly discount rate shown for the plan on the pricing page.
  • Fixed for what you paid: the price, the discount rates and the total shown when you buy do not change during the period or subscription period bought with that payment; later periods follow the rules under Price changes.

13.Currency and taxes

When US dollars are offered on the payment page, you choose between Turkish lira (TL) and US dollars (USD); the payment page opens in US dollars in the English interface and in Turkish lira in the Turkish interface. The rules are:

  • Payment and seller: on the payment page, payments in Turkish lira and in US dollars are made only through Stripe, and we are always the seller.
  • No currency conversion: we do not convert between currencies. The price of a plan is the price published in the currency you choose, and the amount shown on the payment page is collected in that currency. If you pay in a currency other than the currency of your card, your bank may apply its own exchange rate, exchange difference or commission; these amounts are outside our control.
  • Taxes in US dollars: Turkish VAT does not apply to payments in US dollars. If we turn on Stripe Tax for US dollar payments, the tax that applies according to your address is shown separately on the payment page before you confirm the payment.
  • The currency stays the same while a paid period runs: extensions, upgrades and subscription renewals are made in the currency in which you paid the period. To change the currency, buy again after the current period or subscription ends.
  • Calculation is the same in both currencies: the price is calculated from the price published in the currency you choose, as described under Prices by number of businesses. When you upgrade or add businesses, you pay the difference for the remaining days of the current period; a difference below 1 TL, or below US$0.50 in US dollars, is not charged.
  • Refunds: the refund rules are the same in Turkish lira and in US dollars: amounts charged are not refunded except in the cases listed in our Refund and Cancellation Policy.

14.Payments, seller and invoices

We are the seller of every paid plan, whether you pay on the payment page or by an agreed payment outside it (see Agreed payments outside the payment page).

Payments on the payment page are made through Stripe, in Turkish lira or, when offered, in US dollars. The price is collected for us by Stripe, Inc., a payment service provider based in the USA. You enter your card details and your billing details (name or company name, billing address, phone number and, if you wish, your tax number) on Stripe's payment page; the full card number and the security code do not reach us. Each charge is a single payment, in either currency; installments are not available. We issue the invoice or receipt through Stripe: you can open it from the "Invoice" (Fatura) link in the payment history on the subscription page, and we tell you about each charge by email. No Turkish e-invoice (e-Arşiv fatura or e-Fatura) is issued, whether you pay in Turkish lira or in US dollars. Because the seller is a company outside Turkey, your bank may treat the payment as a foreign transaction: your card may need to be open to online and international payments, and your bank may charge its own fee.

Stripe is not a party to the contract; it takes the payment securely and, for an auto-renewing subscription, also stores your card.

Once the payment is completed, your plan is usually activated in your workspace within a few minutes, and you are informed by email after each charge made on the payment page. The Service is delivered entirely online; there is no physical delivery. If your plan is not activated, contact us.

Payments made through PayTR until 18 October 2026. Until 18 October 2026, payments could also be made on the payment page through PayTR (in Turkish lira only, as one-time payments). Periods paid through PayTR before that date continue with the same rights until their end date and do not renew automatically; the version of these terms accepted at the time of purchase applies to those purchases. Extensions of these periods, upgrades and added businesses are made through Stripe, in the currency in which the period was paid.

15.Agreed payments outside the payment page

By written agreement with you (for example, by email), we may also accept the price outside the payment page, by bank transfer (havale or EFT) or another method agreed between us (an "agreed payment"). An agreed payment is a one-time payment, and these rules apply:

  • The terms are given in writing before you pay: the plan, the number of businesses, the duration (1, 2, 3 or 6 months or 1 year), the price, the currency (Turkish lira or US dollars), any taxes and the account to pay into are sent to you in writing before you pay. The price is the amount we tell you and you pay; for an agreed payment we may give a discount on the price calculated as described under Prices by number of businesses. By making the payment on these terms you accept these Terms of Service.
  • Seller and invoice: the seller is always BadePlus, and the payment is made into BadePlus's account. We issue the invoice or receipt with the billing details you give us in writing and send it to you.
  • When the plan starts: once the payment reaches us and we record it, your plan starts, or the period is extended, the plan is upgraded or businesses are added. Apart from the price, the usual rules apply: for the same plan the new duration is added to the current end date; for an upgrade or added businesses the end date does not change and the payment covers the remaining days. The payment appears in the payment history on the subscription page.
  • Renewal and currency: the plan does not renew automatically and ends on its end date. We do not convert between currencies, and the currency stays the same while a paid period runs.
  • Rules that do not apply: the rules about the payment page, card payments and the payment institution (Stripe), including that payments are made only through Stripe, do not apply to an agreed payment; the other terms apply with the differences in this section.
  • Refunds: the refund rules apply in the same way (see Refunds and right of withdrawal).

16.Renewal, cancellation and plan changes

  • A one-time payment ends on its end date by itself; there is nothing to cancel. We remind you by email 3 days before the end date. If you buy the same plan again before the end date, the new duration is added to the current end date. You extend through Stripe, in the currency in which the current period was paid.
  • You can cancel an auto-renewing subscription at any time on the subscription page. Cancellation takes effect at the end of the current period; you can use the Service until then and no new charge is made. You can undo the cancellation before the period ends. A cancellation made in a period whose payment could not be collected takes effect immediately.
  • An upgrade takes effect immediately against payment of the price difference for the rest of the current period; a downgrade applies when the current period ends. A difference below 1 TL, or below US$0.50 in US dollars, is not charged. Plan changes are made in the currency of the period or subscription.
  • You can add businesses on the subscription page while your plan is valid. The addition takes effect immediately, the new businesses are available as soon as the payment is received and the end or renewal date does not change. For a period paid by one-time payment, you pay, with a new one-time payment, the difference between the price for the new number of businesses and the current price for the remaining days of the current period (the currency and minimum amount rules for upgrades apply). For an auto-renewing subscription, the difference for the rest of the current period is calculated pro rata by Stripe and charged to your saved card, and later periods renew with the new number. The amount is shown before you confirm; if the difference is not paid or cannot be collected, the number of businesses does not change.
  • A reduction in the number of businesses applies, like a downgrade, at the end of the current period or subscription period. It is not accepted while you manage more businesses in your workspace than the new number; take the extra businesses out of management first. The amount already paid is not refunded.
  • While a one-time period is running you cannot start an auto-renewing subscription, and while a subscription is running you cannot make a one-time purchase. To switch the payment type, buy again after the current period or subscription ends.
  • If a renewal payment cannot be collected, Stripe retries it and we inform you by email; your plan stays open in the meantime. If the payment still cannot be collected after the retries, the subscription ends and your account moves to restricted use.

The details are in our Refund and Cancellation Policy.

17.Refunds and right of withdrawal

The free trial lets you try the Service without paying. For this reason, amounts charged are not refunded except in the cases listed in our Refund and Cancellation Policy, such as a duplicate or erroneous charge, a material breach by us that we do not remedy, or our termination of the contract without just cause. A one-time period can be used until its end date and a cancelled subscription until the end of its period. This applies in the same way to payments in Turkish lira and in US dollars. For card payments, we make refunds through Stripe to the card used for the payment, in the currency in which the payment was made. For an agreed payment, we make the refund in the currency of the payment and on the amount received, to the bank account you tell us.

Because paid plans are bought for commercial or professional purposes, the right of withdrawal under Turkish Law No. 6502 on Consumer Protection and the Distance Contracts Regulation does not apply as a rule. Where you are a consumer, the right of withdrawal cannot be used either: the Service is performed electronically and immediately and, with your approval, its performance starts at the beginning of the period you buy (Article 15(1)(ğ) and (h) of the Regulation). You are informed of this and accept it on our payment page before you continue to Stripe's payment page; for an agreed payment, you accept it by making the payment on the terms we gave you in writing.

For one-time services, such as setting up a business profile on Google Maps, the cancellation and refund rules are under One-time services; for the map usage service, they are under Map usage service.

18.Price changes

We may change plan prices, the discount rates by number of businesses and the yearly discount rate. We announce a change by email or panel notification at least 30 days before it takes effect. For one-time payments the new price applies to purchases, extensions, added businesses and upgrades made after the effective date; for auto-renewing subscriptions it applies from the first renewal after the effective date at the earliest. If you do not accept the new price, you can cancel your subscription before the effective date. The price of a period you have already paid for is not increased during that period.

Changes in tax rates may be reflected from the date on which the law requires them to be applied.

Move to prices by number of businesses. Plans bought before the move to prices by number of businesses, without choosing a number of businesses, continue with the price, rights and limits with which they were bought until the paid period or the current subscription period ends. Because the move does not change paid periods, the 30-day notice above applies, for the move, to the renewal of auto-renewing subscriptions: these subscriptions renew with the same price and rights unless the application of prices by number of businesses to them is announced at least 30 days in advance. Prices and rights by number of businesses apply to new purchases and extensions; if you extend such a plan, add businesses or change plan, you choose the number of businesses and the price and rights shown on the payment page apply.

Plans withdrawn from sale. We may stop selling a plan to new buyers. A paid period of a withdrawn plan stays valid with the same features and limits until its end date; to continue, buy one of the plans on sale when it ends. An auto-renewing subscription to a withdrawn plan renews with the same price and terms unless a change is announced at least 30 days in advance.

19.One-time services

On our website you can also buy one-time services from the order page, such as setting up or optimizing a business profile on Google Maps, or reputation management, in which we file removal requests with Google for reviews that appear to break Google's rules (a "service order"). These rules apply to them, as set out in the Distance Sales Agreement and the Pre-contractual Information Form:

  • Scope: you do not need a BadePlus account to order; an order placed while you are signed in is linked to your account. A service order is not a plan purchase and does not give you a paid plan. The rules in these terms about plans, the free trial, payment types, agreed payments, renewals and plan refunds do not apply to service orders.
  • What is included: the name, description and scope (the work to be done) of the service and, if given, its delivery time are shown on the order page. Your order is placed with the scope, price, currency and terms shown at that moment; later changes do not affect orders already placed, and work not listed in the scope is not included. For a custom-price order, the details of the work (for example, the reviews for which removal requests will be filed in reputation management) are given to you separately before the work starts, and the order is placed with the details shown on the order page opened with your reference code. One order can cover at most 10 businesses; you give the details of each business separately and the service is performed for each business separately. The service is performed online and remotely; there is no physical delivery.
  • Price and payment: the price is shown on the order page for one business, and the order total is that price multiplied by the number of businesses. The price is a net amount excluding VAT; any VAT and other taxes that apply and the total to be charged are shown on the order page and on Stripe's payment page before you confirm. You pay only by card on Stripe's payment page, as a one-time payment charged in a single payment; installments are not available. Your card details go directly to Stripe, the full card number and the security code do not reach us and your card is not saved for later payments. Because the seller is a company outside Turkey, your bank may treat the payment as a foreign transaction and charge its own fee. We issue the invoice or receipt through Stripe; no Turkish e-invoice is issued. If the payment is not completed within 24 hours, the order is cancelled and nothing is charged.
  • Currency: the price and the total are shown on the order page in Turkish lira (TL) or in US dollars (USD), and the amount is charged in the currency shown on the order page. On our Turkish website the price is shown in Turkish lira; on our English website it is shown in US dollars if a US dollar price has been set for the service and US dollar payments are offered, and in Turkish lira otherwise. For a custom-price order, the currency is the one given to you with the price. VAT applies only to payments in Turkish lira and only when it is shown on the order page and on Stripe's payment page before you confirm; Turkish VAT does not apply to payments in US dollars and no tax is added to them. We do not convert between currencies; if you pay in a currency other than the currency of your card, your bank may apply its own exchange rate, exchange difference or commission, which is outside our control. Refunds are made in the currency in which you paid. The currency rules for plans under Currency and taxes do not apply to service orders.
  • Custom price (reference code): we may give you a personal price for a service. The price is given to you separately (for example, by email or message) and is not published on our website; it is shown only on the order page opened with the reference code we give you. The price is given to you with its currency (Turkish lira or US dollars), and you pay in that currency whatever the language of the website. The code can be used until the expiry date given with it and for one payment; an expired, used or cancelled code cannot be used to order. The service and the number of businesses come from the code and cannot be changed, and the order is placed with the details shown on that page. The other price and payment rules above apply in the same way.
  • Paying after the work is done: for a custom-price order, we may agree that you pay after the work is done; the order page opened with your code says so. In that case the details of the work and the price are given to you before the work starts, the work is performed at your request and with your approval before payment, and when the work is done you pay on the order page with the reference code we give you. Not paying, or the cancellation of an order whose payment was not completed, does not cancel the price of the work performed; the unpaid amount remains owed to us.
  • Delivery: when the payment is received, your order is queued and we let you know by email. The service is performed within the delivery time shown for it on the order page; the time starts once the payment is received and you have given the information and access the work needs. If no delivery time is shown, the service is performed within a reasonable time. Google's verification, review and approval times, and the time spent waiting for you to complete the verification steps Google asks for, are not included. We let you know by email when the work is complete. For an order paid after the work is done, the work is performed before payment, so the order is complete when the payment is received and we let you know by email.
  • Your obligations: you give accurate, current and complete details for yourself and for each business, and you confirm that the business exists and that you are authorized to order for it. The verification steps Google asks for (for example, entering a code received by phone, SMS or email, video verification, or entering the code on a postcard sent to the business address) may be yours to complete; you complete them as and when Google asks. If the work requires it, you give the Google account we tell you manager access to the business profile, and you can remove that access when the work is done. You do not ask for anything that breaks Google's business profile rules (for example, an address that is not real or keywords added to the business name). You do not ask us to file a removal request for a genuine customer's review that follows Google's rules just because it is negative, to pressure or offer money or any other benefit to the person who wrote a review, to find out who wrote a review, to write fake reviews, or to collect reviews given in return for a discount, gift or other incentive. For reputation management, you tell us which reviews you want removal requests for and give accurate and complete information and documents for a legal removal request to Google; you are responsible for the accuracy of the statements in that request. We are not responsible for delays or results caused by inaccurate or incomplete details or by steps you do not complete.
  • Google's decisions, no guaranteed result: whether Google creates, verifies, publishes or suspends a profile, whether it accepts changes, whether it removes a review, and where and how visibly a business appears on Google Maps and in search depend on Google's own rules and decisions and are outside our control; we cannot remove a review ourselves. We do not guarantee any ranking, visibility, visit, customer or sales result, that a business's rating or star average will reach a particular level, that a review will be removed, or that Google will verify a profile or not suspend it. A decision by Google (for example, a rejected verification, a suspended profile, a review that is not removed after a removal request, or a rejected appeal) is not in itself a reason for a refund or, for an order paid after the work is done, for not paying or paying less.
  • Cancellation and refunds: before you confirm the order, you ask for the service to start immediately after payment by ticking a separate box that is not pre-ticked; for an order paid after the work is done, with that box you confirm instead that the work was performed at your request and with your approval before payment. You cannot order without it. If you ask to cancel before we start work on any business in your order, the full amount is refunded to the card you paid with, through Stripe, within 14 days of your request reaching us, whether or not you are a consumer. The work has started when we take the order into processing and begin working for any business in it; this moment is recorded on the order, and cancellation and refunds apply to the order as a whole. Because the work starts with your approval, once it has started the right of withdrawal cannot be used even if you are a consumer (Article 15(1)(ğ) of the Distance Contracts Regulation), and no refund is given for a cancellation requested after the work has started or for completed work.
  • Paid after the work is done: because the work was performed at your request and with your approval before payment, the right of withdrawal cannot be used even if you are a consumer (Article 15(1)(ğ) of the Distance Contracts Regulation), and the amount paid is not refunded. For a custom-price order paid before the work starts, the cancellation and refund rules above apply.
  • Exceptions: duplicate or erroneous charges, and amounts affected by a material breach by us, are refunded. If we find out before starting that the order cannot be performed (for example, because the business is of a type for which Google does not allow a profile), we tell you by email within three days of finding out and refund the full amount within 14 days of telling you.
  • Our obligations: we perform the service carefully and in line with the scope shown on the order page; we do not take actions that break Google's business profile rules (such as fake reviews or an address that is not real), and we use your details and any manager access you give us only for the work you ordered. In reputation management, we file removal requests through Google's tools only for reviews that appear to break Google's rules (for example, fake or spam reviews, off-topic content, insults and hate speech, personal information, a conflict of interest or advertising), use Google's appeal process when a request is rejected, and tell you the outcome (which review we filed for and what Google decided). For reviews that violate personal rights, Google's legal removal request form is prepared together with you and with the information you give; we do not provide legal representation or act as your lawyer. Replying to reviews is not part of reputation management. In services involving reviews, we do not file a request for a genuine customer's review that follows Google's rules just because it is negative, file mass reports from fake accounts, pressure or offer money or any other benefit to the person who wrote a review, try to find out who wrote a review, write or commission fake reviews, or offer discounts, gifts or other incentives in return for reviews. We process the personal data of the people who wrote the reviews in your profile on your behalf and only for the work you ordered.

Send order, cancellation and refund requests and complaints to our support email with your order number. If you are a consumer, you may also apply to the consumer arbitration committee or the consumer court (see Governing law and jurisdiction).

20.Map usage service

Map usage service: a Google Business Profile (map) managed by BadePlus is used for your business during the service period; calls and requests coming from this map are forwarded to you and you see the map's statistics in your panel. The map and the profile on Google remain under BadePlus's management; the service is not a transfer of the profile and no ranking or call volume is guaranteed.

BadePlus may provide you with the map usage service for a Google business profile that BadePlus manages in its own Google accounts (a "map"). These rules apply to it, as set out in the "Map usage service" section (Turkish: Harita kullanım hizmeti) of the Distance Sales Agreement and in the Pre-contractual Information Form:

  • Scope: BadePlus starts the service and assigns it to your BadePlus account; the map, the monthly service fee, the currency, the payment type and the start date are shown on the service page in your panel (Maps I use). The map usage service is not a plan purchase, does not give you a paid plan and does not change your plan. The rules in these terms about plans, the free trial, plan payment types, renewals and plan refunds, and the rules under One-time services, do not apply to the map usage service.
  • You can only view the map: on the service page you see the map's profile details, the performance figures Google provides (for example, calls, direction requests, website clicks and views) and its reviews; you cannot change the map, reply to reviews or publish posts, and you are not given access to the profile on Google (ownership or manager access). BadePlus keeps owning and managing the profile on Google during the service. At the start and the end of the service, BadePlus makes the agreed changes to the contact details on the profile (for example, the phone number and website) in line with Google's rules; how long Google takes to review them is outside our control.
  • Fee: the monthly service fee is set for you personally and is not published on our website; it is given to you when the service is started. It is a net amount excluding VAT and is charged in the currency set for the service, Turkish lira (TL) or US dollars (USD); we do not convert between currencies. VAT applies only to payments in Turkish lira and only when it is shown on the payment page before you confirm; Turkish VAT does not apply to payments in US dollars and no tax is added to them. While the service continues, the monthly fee can only be changed by agreement with you, from a later period.
  • Payment types: with monthly automatic payment, you make the first payment by card on Stripe's payment page from the service page; your card is saved at Stripe and the monthly fee is charged to it in a single payment at the start of each period until you turn off automatic renewal, which takes effect at the end of the paid period. With an advance payment, you pay by card for a period of 1, 3, 6 or 12 months in one payment; the amount is the monthly fee multiplied by the number of months, no discount applies and your card is not saved. Payment by bank transfer or in person is not accepted for a service charged in US dollars and is made only for a service charged in Turkish lira, as agreed with BadePlus in writing. Your card details go directly to Stripe; the full card number and the security code do not reach us.
  • Periods and reminders: you see the map's details once the first payment is received. Each payment covers a period that is added from the end of the paid period, or from the day the payment is received if that date has passed; for monthly automatic payment the period is the monthly period Stripe charges. For an advance payment or a payment by bank transfer or in person, we email you a reminder three days before the period ends and on its last day.
  • Late payment: if the payment for the next period has not been received when a period ends, the service's status becomes "payment overdue" and we let you know by email. A late payment does not end the service by itself; BadePlus may end an overdue service by notifying you.
  • Ending and cancellation: to end the service, you turn off automatic renewal or, for an advance payment or a payment by bank transfer or in person, you do not pay for the next period, and you let us know; the service is ended at the latest at the end of the paid period and nothing is charged for the next period. BadePlus may also end the service by notifying you if the payment is late or if you break these terms or Google's rules. When the service ends you no longer see the map's details; your payment history stays on the service page. If your BadePlus account is deleted, an ongoing service ends and its monthly automatic payment is stopped.
  • No refund for a started period: the service is performed electronically and immediately, and it starts with your approval at the beginning of each paid period, so the right of withdrawal cannot be used even if you are a consumer (Article 15(1)(ğ) of the Distance Contracts Regulation) and the fee for a period that has started is not refunded; the remaining days are not refunded when you turn off automatic renewal or when the service ends during a period. Duplicate or erroneous charges, and amounts affected by a material breach by us, are refunded in the currency in which you paid.
  • Google's decisions and suspension: whether the map appears on Google, whether it is suspended or closed, and where and how visibly it appears on Google Maps and in search depend on Google's rules and decisions and are outside our control. We do not guarantee any ranking, visibility, number of calls, direction requests, website clicks, customers or sales; the performance figures on the service page are past data provided by Google. If the map you use is suspended or closed by Google during a period, BadePlus provides you with another, equivalent map for the rest of the paid period; the service continues with that map with the same period end and the same monthly fee, and no money is refunded for the remaining days.
  • Your obligations: you confirm that the contact details you want used on the profile are yours, accurate and current; you do not ask for the map to be changed against Google's rules; and you use the personal data in the reviews you see and in the requests that come from the map only for your own business and in line with data protection law.

Send service, payment, cancellation and refund requests and complaints to our support email. If you are a consumer, you may also apply to the consumer arbitration committee or the consumer court (see Governing law and jurisdiction).

21.Intellectual property

All rights in the Platform's software, design, brand, logo and documentation belong to us or our licensors. You receive a non-exclusive and non-transferable right to use the Platform for your own business under these terms and, for a paid plan, while the plan is valid.

Your content belongs to you. You give us a limited permission to use it only to provide the Service: to store and process it, to send it to Google and to back it up. You confirm that you hold the rights needed for the content you upload.

22.Third-party services

The Platform works with third-party services such as Google Business Profile, Google Maps, AI providers and our payment service provider (Stripe). These services are independent of us and subject to their own terms.

Changes Google makes to its rules, APIs or quotas may affect some features of the Platform. We do not guarantee that Google will accept a reply, a post or a profile change, that a profile will not be suspended, or that any particular ranking, visibility or customer result will be achieved.

23.Availability and support

We aim to provide the Platform without interruption as far as reasonably possible, but it may occasionally be unavailable because of maintenance, updates, security measures or outages at third parties. We announce planned maintenance in advance where possible. We do not commit to a specific availability rate.

We recommend keeping your own copy of data that matters to your business. You can download your data at any time under Settings → My data (Ayarlar → Verilerim).

Support is provided through support requests opened in the panel and by email; requests about payments and invoices go through the same channels. Depending on your plan, live chat and WhatsApp may also be offered. Response times are targets.

24.Personal data

How we process personal data is explained in our Privacy Policy. Using the Platform does not by itself count as consent to processing that requires your explicit consent.

We are the data controller of the personal data relating to your account, your purchases and your use of the Platform under Turkish Law No. 6698 on the Protection of Personal Data ("KVKK"); the ways to apply to us are described in the Privacy Policy.

For the personal data of third parties in the business profiles you manage, such as customer reviews, you are the data controller and we process the data on your behalf as a processor, only to provide the Service. For this data we:

  • process it only to provide the Service and in line with your instructions,
  • limit access to the people who need it and make sure they keep it confidential,
  • protect it with appropriate technical and organizational security measures,
  • share it only with the service providers listed in the Privacy Policy and only as far as the Service requires,
  • process it in the USA and in the countries where the service providers listed in the Privacy Policy are located, and, if you ask, sign with you the standard contract provided for in Article 9 of the KVKK for this transfer,
  • inform you without delay if we become aware of a data breach,
  • give you reasonable help in answering requests from the people concerned,
  • delete it when the contract ends and the account is deleted.

You confirm that you have informed the people concerned as required and that you have a legal basis for the data you bring to the Service.

25.Limitation of liability

The Platform is provided "as is". To the extent permitted by law, we are not liable for indirect damage, loss of profit, business or reputation, or for decisions of third-party platforms. We are not responsible if Google rejects content or suspends a profile, or if a particular ranking, visibility or sales result is not achieved.

We are liable only for direct damage caused by a breach attributable to us. Our total liability is limited to the amount you paid for the Service in the 12 months before the event that caused the damage. These limitations do not apply to intent or gross negligence or to liability that cannot be limited by law.

26.Force majeure

If events beyond the reasonable control of the parties occur, such as natural disasters, epidemics, war, general internet or power outages, cyberattacks, decisions of public authorities or failures of critical third-party infrastructure, the affected obligations are suspended for as long as the event lasts. If force majeure lasts longer than 30 days, either party may terminate the contract without compensation, and the unused period is refunded pro rata.

27.Suspension and termination

You can close your account at any time by requesting account deletion under Settings → My data (Ayarlar → Verilerim). If you have an auto-renewing Stripe subscription, we recommend cancelling it first. When your account is deleted, any running subscription or paid period also ends, and an auto-renewing subscription does not renew again.

Either party may terminate the contract if the other party commits a material breach and does not remedy it within 7 days of written notice. In case of unlawful use, payment fraud, a security risk or a serious or repeated breach of these terms, we may suspend or close your account or terminate the contract; we give notice first, except in urgent cases. We may also end the contract without giving a reason by notifying you 30 days in advance; in that case the unused period is refunded pro rata.

Termination does not affect payment obligations that have already arisen or the provisions on confidentiality, intellectual property and liability.

28.Your data when a plan ends

When a paid period or a subscription ends, your workspace and data are not deleted: the paid plan's features and limits close and your account stays in restricted use until you buy a new plan. You can download your data at any time under Settings → My data (Ayarlar → Verilerim). If you delete your account, your data is deleted according to the retention periods in our Privacy Policy.

29.General provisions

Each party keeps confidential the non-public commercial and technical information it learns because of the contract and uses it only to perform the contract, to meet a legal obligation or at the request of a competent authority. This obligation continues after the contract ends.

We send notices to the email address registered to your account or through the panel; please keep your contact details up to date. The parties agree that electronic records, system logs, the transaction records of payment institutions (such as Stripe) and of banks (including bank receipts) and email correspondence may be used as evidence in disputes under Article 193 of the Turkish Code of Civil Procedure No. 6100; the right to present counter-evidence is reserved.

We may transfer the contract to a successor or to a person who takes over the business, provided that your rights are not reduced. You may not transfer the contract without our written consent. If a provision is invalid, the other provisions are not affected.

30.Governing law and jurisdiction

These terms and every purchase are governed by Turkish law. Because we are a company organized in the USA, the relationship has a foreign element; the parties have chosen Turkish law under Article 24 of the Turkish Code on Private International and Procedural Law No. 5718.

We first try to resolve disputes amicably. For disputes between parties who may make a jurisdiction agreement under Article 17 of the Turkish Code of Civil Procedure No. 6100, the Istanbul Central (Çağlayan) Courts and Enforcement Offices have jurisdiction. In other cases the statutory rules on jurisdiction apply.

Mandatory mediation rules are reserved. If you are a consumer, you may apply to the consumer arbitration committee within the monetary limits announced each year by the Turkish Ministry of Trade, and to the consumer court above those limits. The fact that we are organized outside Turkey does not remove these rights or the protection of the mandatory rules of the law of the country where you habitually reside (Article 26 of Code No. 5718).

31.Changes to these terms

We may update these terms. The current text is published on this page with its effective date. We announce changes that materially affect your rights by email or panel notification before they take effect; if you continue to use the Platform after a change, you accept the updated terms. Price changes follow the rules under Price changes.

Last updated on . Version 1.16.
